An Indian Corporation for the purpose of dealing with International Air / Sea freight shipments whereby it has been agreed by the parties as follows:

該協(xié)議于2010年3月2日簽訂，協(xié)議雙方為XXX（地址：電話：分機(jī)：803 傳真：電子郵箱：主要聯(lián)系人：）和一家印度公司***（地址：電話：傳真：電子郵箱：），旨在處理國(guó)際空運(yùn)/海運(yùn)事物，雙方特此協(xié)議如下：

1 GENERAL CONDITIONS: -

i) Each party agrees to act mutually as the non-exclusive agent of the other party inclusive of Sales, Operation and Break Bulk.

ii) Each party shall make their efforts to increase air freight / sea freight shipments and to promote and develop related activities between their respective territories.

iii) Both parties shall provide each other with customs clearance and delivery service and all charges required for these to the account of the importers unless the services have been specifically requested on a “Free House or Free Domicile” basis.

iv) Both parties shall co-operate with and assist each other in the filing and settling of claims.

vi) ⅱ）雙方應(yīng)盡量提高空運(yùn)/海運(yùn)能力并促進(jìn)和開(kāi)展各自區(qū)域的相關(guān)活動(dòng)。

vii) ⅲ）雙方應(yīng)為對(duì)方提供清關(guān)和交付服務(wù)，除非該服務(wù)明確要求是基于“貨到付款或免費(fèi)送貨上門(mén)”，否則所需的所有相關(guān)費(fèi)用由進(jìn)口商支付。

ⅳ）雙方在索賠的訴訟和解決上應(yīng)該通力合作并且相互幫助。

2. SALES PROMOTION

i) Both parties shall exchange Sales Leads.

ii) Both parties shall quote their most competitive rates for individual business offered.

iii) Both parties shall try to put the other party’s name specified as the designated forwarder in letters of credit and / or Purchase Orders to be issued by their respective customers.

iv) Both parties shall try to obtain from consignee letters of Recommendation or Routing Orders addressed to shippers to route their shipments through the other party’s service.

v) If no other instruction prevails, both parties shall make arrangements to insert the other party’s name in Airway Bill as “Notify” party or Consignee.

?。╇p方應(yīng)該相互交換銷(xiāo)售信息。

ⅱ）雙方應(yīng)該為對(duì)方提供單筆業(yè)務(wù)的最優(yōu)惠報(bào)價(jià)。

ⅲ）雙方應(yīng)該盡量在各自客戶(hù)所簽發(fā)的信用證和/或訂單中將另一方的公司名稱(chēng)寫(xiě)為指定貨運(yùn)公司。

ⅳ）雙方應(yīng)該盡量從收貨人獲得推薦信或?qū)⒅付ㄘ浖耐羞\(yùn)人，以通過(guò)另一方的服務(wù)發(fā)送貨物。

ⅴ）如果在沒(méi)有其他指示為準(zhǔn)的話，雙方應(yīng)在航運(yùn)收據(jù)上安排寫(xiě)明另一方作為“通知”方或者收貨人。

3. OPERATIONS

i) Each party agrees to handle the other’s cargo and to confirm that remark will be made on appropriate documents and will be notified immediately in writing to the other party.

ii) In the events of any irregularity like shortage and / or damage, such remark will be made on appropriate documents and will be notified immediately in writing to the other party.

iii) Freight on Master Airway Bills / Original Bill of Lading (hereinafter referred to as MAWB / MBL) unless otherwise specified, must be pre – paid.

iv) Agent’s Disbursements and cargo Release on Credit will not be accepted.

3. 運(yùn)營(yíng)

?。?/span>雙方同意為對(duì)方搬運(yùn)貨物并確認(rèn)將在有關(guān)單據(jù)上作相應(yīng)備注，但須立即以書(shū)面的形式告知另一方。

ⅱ）如果出現(xiàn)缺貨和/或損害的異常情況，應(yīng)該在有關(guān)單據(jù)上備注并立即以書(shū)面的形式告知另一方。

ⅲ）除非另行說(shuō)明，否則主空運(yùn)單/原提單（以下簡(jiǎn)稱(chēng)MAWB / MBL）必須預(yù)付。

ⅳ）不接受代理墊款以及賒賬發(fā)貨。

4. BREAK BULK AGENT FEE

Each party agrees to act mutually as Break Bulk Agent for the other party. There shall be no Break Bulk fee for freight prepaid shipments for either of the party.

4. 卸貨代理費(fèi)用

雙方同意相互作為對(duì)方的卸貨代理。對(duì)于預(yù)付的貨物，任何一方都不得收取卸貨費(fèi)用。

5. ACCOUNTING AND FINANCIAL COMPENSATION

5. 結(jié)算和經(jīng)濟(jì)補(bǔ)償

i) Profit share per House Airway Bill & House Bill of Lading shall be made on a fifty – fifty basis incase the shipment is the said Routed consignment, the amount of said profit is the difference between air and sea freight revenue of a House Airway Bill & HBL costs calculated by pre–noticed rate.

?。┤绻浳锇凑占榷ǖ陌l(fā)貨路線，每筆空運(yùn)分提單和貨運(yùn)代理提單的利潤(rùn)應(yīng)該平分，該利潤(rùn)的額度應(yīng)該為按照預(yù)先告知費(fèi)用計(jì)算的空運(yùn)分提單和貨運(yùn)代理提單的空運(yùn)和海運(yùn)收入的差額。

Quotation of air freight / sea freight rates shall be made on a Net / Net basis in principle. If the result of the calculation is loss, said loss shall be borne by the party who sells air freight / sea freight under the Net / Net rate.

空運(yùn)費(fèi)/海運(yùn)費(fèi)的報(bào)價(jià)原則上應(yīng)該以?xún)纛~為基準(zhǔn)。如果估算結(jié)果為虧損，相應(yīng)損失應(yīng)該根據(jù)凈價(jià)由提供空運(yùn)/海運(yùn)服務(wù)的一方負(fù)責(zé)。

ii) In an exceptional or special case, each party may decide other share on an amicable negotiation with the other party, irrespective of the above basic sharing.

ⅱ）在意外情況或者特殊情況下，各方可不考慮以上的基本分配方案，在友好協(xié)商的基礎(chǔ)上決定其他分配辦法。

iii) Settlement of freight and other change shall be basically made on exports and imports respectively without any deduction.

ⅲ）運(yùn)費(fèi)結(jié)算或者其他更改應(yīng)該在不打折扣的情況下一般按照出口和進(jìn)口情況來(lái)作出

iv) All the expenses for telephone, facsimile or any other communications exchanged between both parties in connection with pursuant to this Agreement shall be for the account of the sender, unless the receiver agrees to pay the expenses prior to the sending.

ⅳ）除非收貨人在發(fā)貨之前同意支付電話費(fèi)、傳真費(fèi)或雙方之間的其他任何有關(guān)通訊費(fèi)用，依照本協(xié)議，所有這些費(fèi)用應(yīng)該由發(fā)貨人支付。

v) Within fifteen business days after the final business day of the each calendar month a statement will be transmitted via facsimile exchange each other. Payment of collected air freight charge, sea freight charge, commission and any other charge for the month so closed shall be made by the end of the following month. Disputed items will be advised and deducted temporarily from the statement and both parties shall try to reach an early settlement.

（ⅴ）在每個(gè)月的最后一個(gè)營(yíng)業(yè)日之后的十五個(gè)工作日內(nèi)，雙方應(yīng)該通過(guò)傳真相互交換報(bào)表，有關(guān)本月收到的空運(yùn)費(fèi)、海運(yùn)費(fèi)、傭金以及其他費(fèi)用應(yīng)該在下個(gè)月底結(jié)清。有爭(zhēng)議的項(xiàng)目可以明示并且暫時(shí)從報(bào)表上剔除，雙方應(yīng)該盡早解決。

vi) Whenever the amount owed by one party exceeding the equivalent of USD30,000.00, such party will make prompt payment to the creditor at least in the amount exceeding USD30,000.00

（ⅵ）在任何情況下，如果其中一方所欠的金額超過(guò)3萬(wàn)美元，該方應(yīng)該馬上至少支付3萬(wàn)美元的款項(xiàng)給債權(quán)人。

vii) Not withstanding the above (v) in case big shipment, payment of collected air freight charge and others may be promptly made, if both parties agree so.

（ⅶ）在不適應(yīng)于以上第（V）條時(shí)，如果是大宗的貨物，經(jīng)雙方同意，收到的空運(yùn)費(fèi)以及其他款項(xiàng)可馬上支付。

viii) The currency of payment of M/s XXX shall be in USD unless specified. Payment shall be made via telegraphic transfer to following account.

（ⅷ）除非另有說(shuō)明，支付給XXX的款項(xiàng)幣種應(yīng)該為美元，支付應(yīng)通過(guò)電匯付至以下賬戶(hù)：

x) Bank charges for telegraphic transfer application shall be borne by the party who must remit.

ⅹ）電匯的銀行手續(xù)費(fèi)用應(yīng)該由負(fù)責(zé)匯款的一方承擔(dān)。

6. FORCE MAJEURE:

Both parties shall be relieved from liability for any loss / or damage arising or resulting from Act of God, Force Majeure, and any other cause or event which they could not avoid and consequences where of they could not prevent by the exercise of reasonable diligence.

6. 不可抗力

由于天災(zāi)、不可抗力以及其他原因或者在合理努力后仍然不可避免事件引起的任何損失或者損害，雙方均可免于責(zé)任。

7. SECERECY

Both parties shall keep secret of any information obtained in connection with this Agreement and must not disclose it to any third party.

雙方應(yīng)該對(duì)協(xié)議相關(guān)信息保密并不得披露給第三方。

8. ALTERATION AND ADJUSTMENT:

This agreement to this agreement is required and / or if there is anything not specified in this agreement both parties shall negotiate to find a better solution. This agreement shall be modified only in writing with the signatures of both parties.

8. 變更和調(diào)整

需要對(duì)本協(xié)議內(nèi)容和/或本協(xié)議中沒(méi)有指明的一些內(nèi)容進(jìn)行協(xié)商時(shí)，雙方應(yīng)該通過(guò)協(xié)商來(lái)找到一個(gè)更好的解決辦法。本協(xié)議只能以書(shū)面的形式修改并要求雙方簽字。

9. TERMINATION

i) This agreement shall be effective for one year as from the date of signing, then for each successive one – year period unless either party gives notice that it does not wish to extend this agreement after termination date of the current term.

ii) This agreement may be terminated by either party upon a sixty – day prior written notice.

iii) If either party wishes to terminate this agreement, all right or liabilities of both Parties shall continue during such a sixty day period and thereafter until each party shall have performed all obligation rising hereunder before the termination.

9. 終止

ⅰ）本協(xié)議自簽字日起有效期為一年。除非有任何一方在現(xiàn)行協(xié)議期終止日以后告知其不想續(xù)簽該協(xié)議，否者該協(xié)議在每年期滿(mǎn)后續(xù)約一年。

ⅱ）在書(shū)面通知六十天后，該協(xié)議可由任何一方終止。

ⅲ）如果任何一方希望終止本協(xié)議，雙方所有權(quán)利和義務(wù)在所述六十天期間應(yīng)該繼續(xù)有效，直至雙方已經(jīng)履行協(xié)議終止前的所有義務(wù)。

10. ARBITRATION

If any dispute arises in connection with this agreement, both parties shall make their best effort to settle it amicably. However, if said efforts have been exhausted such disputes shall be finally settled under the rules of conciliation and arbitration of the International Chambers of Commerce.

In witness whereof, the parties have set their hands on the day, month and year written above

10. 仲裁

如果出現(xiàn)有關(guān)本協(xié)議的爭(zhēng)端，雙方應(yīng)該盡量友好解決。然而，在作出以上努力未果后，此類(lèi)爭(zhēng)端應(yīng)該根據(jù)國(guó)際商會(huì)調(diào)解和仲裁規(guī)定解決。當(dāng)事人特此在上述日期附上簽名，以資證明。
